PwC Romania and David & Baias provided advice in the ROMBAT – Metair transaction

PwC Romania and its correspondent law firm in Romania, D&B David si Baias, provided financial, tax and legal advice on the buy-side in the transaction involving the sale of the majority shares of ROMBAT Bistrita to South-African based firm Metair International Holdings Cooperatief.

The transaction amounts to almost 43 million EUR and it is one of the highest ever recorded in the Romanian automotive sector. Metair was also assisted by the South-African law-firm Taback.

“ROMBAT is one of the largest automotive battery producers  in the CEE region, with a significant market share both on the local market, as well as on export markets, and has great perspectives for development, in line with the evolution of the local automotive sector which has grown steadily, driven by rising exports, during the past few years. In the same time, Metair is a South-African based company that has stakes in several companies in the automotive sector. Metair is the main automotive battery producer in South Africa and is engaged in a program for developing “new generations” batteries. They have been cooperating with ROMBAT for some time and this transaction shows their long term commitment for the development of Romania’s auto industry”, stated Sorin David, Senior Partner, D&B David si Baias, one of the coordinators of the consulting team.

“This has been a spectacular combined effort from the M&A team comprising Romanian and South-African PwC deals and tax advisors, together with D&B David si Baias lawyers. It was a highly complex negotiation process, with a very interesting transaction structure. Congratulations are well deserved to the Romanian consultants team made up of Anda Rojanschi, Partner, D&B David si Baias, the head of the negotiating team, Mariana Barbu, Director, Corporate Tax and Alexandru Medelean, Director, Private Company Services Leader, PwC Romania.”, added Sorin David.
